TikTok’s Chinese parent company ByteDance has signed binding agreements to establish a new U.S. joint venture, with half of the entity owned by a consortium of investors led by Oracle, Silver Lake, and Abu Dhabi-based MGX, according to an internal memo from CEO Shou Zi Chew.
The new entity, named TikTok USDS Joint Venture LLC, will operate independently, controlling U.S. user data protection, algorithm security, content moderation, and software assurance. The deal, expected to close on January 22, 2026, aims to address long-standing U.S. national security concerns and avert a potential ban on the app.
In the memo sent to employees on Thursday, Chew stated: “ByteDance and TikTok have signed binding agreements with three managing investors Oracle Corporation, Silver Lake, and MGX.”
Ownership breakdown:50% held by a group of new investors, with Oracle, Silver Lake, and MGX each holding 15% (totaling 45%), and the remaining 5% from other new investors.
Approximately 30.1% held by affiliates of certain existing ByteDance investors.
19.9% retained by ByteDance.
Oracle will additionally serve as the “trusted security partner,” responsible for auditing compliance, storing sensitive U.S. user data in its domestic cloud centers, and ensuring the content recommendation algorithm is retrained on U.S. data to prevent external manipulation.

The joint venture will be governed by a seven-member board with a majority of American directors.
This agreement resolves a years-long saga stemming from U.S. legislation requiring ByteDance to divest TikTok’s American operations or face a ban, effective January 2025 but delayed under executive actions.
Chew expressed optimism, noting the deal allows over 170 million U.S. users to continue using the platform while safeguarding national security.
Reactions from stakeholders were mixed, with some analysts questioning whether ByteDance’s retained stake and potential ongoing ties fully meet divestiture requirements.
